Terms of Service

LumenicGrid provides a grid intelligence platform that monitors ERCOT real-time LMP prices and delivers automated demand signals to help AI data centers and commercial facilities reduce electricity costs. The Service includes the web dashboard, API access (where applicable), email and push notifications, and all related tools and documentation.

The Service is intended for commercial operators, facility managers, and energy professionals. It is not a licensed financial advisory service, and nothing in the Service constitutes investment advice or a guarantee of energy cost savings.

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for an extended period.

You agree not to:

- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations - Attempt to reverse engineer, decompile, or extract source code from the Service - Scrape, crawl, or systematically harvest data from the Service without our written permission - Resell, sublicense, or redistribute access to the Service without authorization - Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure - Impersonate any person or entity or misrepresent your affiliation with any person or entity

The Service processes publicly available ERCOT market data to generate grid signals and recommendations. While we make reasonable efforts to ensure data accuracy and timeliness, we do not guarantee that signals will be delivered without delay, that ERCOT data will be error-free, or that following any signal or recommendation will result in specific cost savings.

Actual savings depend on factors outside our control, including your facility's load profile, your electricity tariff structure, your ability to respond to signals, and ERCOT market conditions. You are solely responsible for all operational decisions made in response to Service outputs.

The Service, including its software, algorithms, design, content, and documentation, is owned by Tyche LLC and protected by applicable intellectual property laws. The LumenicGrid name, logo, and related marks are trademarks of Tyche LLC.

Tyche LLC has a patent application pending (U.S. App. No. 64/049,865) covering certain methods and systems embodied in the Service. Nothing in these Terms grants you any rights in our intellectual property beyond the limited license to use the Service as described herein.

Certain features of the Service require a paid subscription. Subscription fees, billing cycles, and payment terms are described on the Pricing page. All fees are non-refundable except as required by law or as expressly stated in your subscription agreement.

We reserve the right to modify pricing with reasonable notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TYCHE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING LOST PROFITS, LOST SAVINGS, OR LOSS OF DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Tyche LLC and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases immediately. Sections 5, 7, 8, 9, and 12 survive termination.

We may update these Terms from time to time. We will post the revised Terms with an updated effective date. For material changes, we will notify users via email or a notice on the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Waukesha County, Wisconsin, and you consent to personal jurisdiction in those courts.
